Terms of Service

These Terms of Service ("Terms") govern your use of Will The Wise (the "Service"), operated by Ibasho, LLC ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not use the Service.

1. Eligibility

You must be at least 13 years old and legally able to enter into a contract to use Will The Wise. By using the Service, you represent and warrant that you meet these requirements.

2. Accounts & Authentication

You may be required to sign in via Google OAuth to access certain features. You are responsible for maintaining the confidentiality of your login credentials and all activity that occurs under your account.

3. Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

• Use the Service to transmit or store unlawful, harmful, or infringing content
• Attempt to gain unauthorized access to other systems or accounts
• Decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code or underlying ideas of the Service
• Use the Service to develop or train competing AI transcription models or products
• Send unsolicited communications or spam through the Service's notification features

Group Notifications and Guest Participants

When using the "Notify Only" guest functionality or adding participants to your groups:

• Group owners are solely responsible for obtaining proper consent from all participants before adding them to receive notifications (including SMS, email, or other communications).
• You must ensure all participants have explicitly agreed to receive notifications from your group before enabling notification features for their contact information.
• Adding participants without their consent constitutes spam and violates these Terms, potentially resulting in account suspension or termination.
• Participants may opt out of notifications at any time, and you must respect their wishes immediately.

4. Subscriptions & Payments

Some features may require payment via subscription. We use Stripe to process payments. All fees are clearly disclosed and are subject to change with notice.

Failure to pay applicable fees may result in suspension or termination of your account.

5. Data Storage & Deletion

• Files uploaded to the Service and their transcriptions are stored securely by us.
• If you close your account, we will delete all associated personal data and uploaded/transcribed content within 30 days.
• You may request data deletion earlier by contacting us at [email protected].

We reserve the right to retain anonymized or aggregated usage data for analytical purposes.

6. Intellectual Property

All content and code related to the Service (except user-uploaded content) is the property of Ibasho, LLC or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

7. Service Availability

We strive to provide reliable service, but we do not guarantee 100% uptime or error-free operation. Features may be updated, suspended, or removed at any time without liability.

8. Disclaimers & Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind. To the fullest extent permitted by law:

• We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
• We are not liable for any indirect, incidental, or consequential damages arising from your use of or inability to use the Service.

9. Termination

You may stop using the Service at any time. We reserve the right to suspend or terminate your access if you violate these Terms or misuse the Service.

Upon termination, your rights under these Terms will cease immediately, and we will delete your data within 30 days.

10. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict of law principles. You agree to submit to the personal jurisdiction of the courts located in Ohio.
